1Agreement to Terms

Welcome to Acepath.AI ("Acepath," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website located at acepath.ai and all related services, features, and content (collectively, the "Service"), operated by ACEPATH PTE. LTD., a company incorporated in Singapore.

By creating an account, clicking "Sign Up," or otherwise accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy (incorporated herein by reference). If you do not agree to these Terms, do not use the Service.

2Eligibility and Age Requirements

2.1 Minimum Age

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

2.2 Users Under 13

We do not knowingly collect personal information from children under 13. If you are under 13, please do not attempt to register for or use the Service. If we become aware that a user is under 13, we will promptly delete their account and associated information. Parents who believe their child under 13 has registered may contact us at legal@acepath.ai.

2.3 Users Ages 13-17

If you are between 13 and 17 years old ("Teen User"), you represent that your parent or legal guardian has reviewed and consented to these Terms and our Privacy Policy. We encourage parents to review our Privacy Policy to understand how we handle information about Teen Users.

2.4 Account Authority

If you are using the Service on behalf of an educational institution or organization, you represent that you have authority to bind that entity to these Terms.

3Account Registration

3.1 Account Creation

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security

You are responsible for safeguarding your account credentials. You agree to notify us immediately at legal@acepath.ai if you suspect any unauthorized use of your account. We are not liable for any loss resulting from unauthorized use of your account.

3.3 One Account Per User

You may not create multiple accounts. We reserve the right to terminate duplicate accounts.

4Description of Service

Acepath.AI provides an AI-powered educational platform focused on AP (Advanced Placement) exam preparation, including:

• AP Practice Exams: Simulated AP-style exams across multiple subjects
• AI Grading & Feedback: Automated scoring, diagnostic analysis, and personalized feedback on student responses
• Action Plans: Customized study plans generated based on your performance data
• Photo-Based Grading: Upload photos of handwritten work for AI-assisted review and diagnosis
• AI Tutoring: Interactive AI-guided explanations and concept walkthroughs (available on select plans)

5Subscriptions and Payments

5.1 Subscription Plans

Access to premium features requires a paid subscription. Current pricing:

Prices are listed in USD and are subject to change with 30 days' notice.

5.2 Billing

By subscribing, you authorize us (or our third-party payment processor) to charge your payment method on a recurring basis at the start of each billing period. Subscription fees are charged in advance.

5.3 Automatic Renewal

Subscriptions automatically renew unless you cancel at least 24 hours before the end of the current billing period. You can cancel anytime through your account settings.

5.4 Refund Policy

If we offer a free trial, you will not be charged until the trial period ends. You may cancel before the trial ends to avoid charges.

5.6 Taxes

Prices do not include applicable taxes. You are responsible for any taxes applicable to your subscription.

6User Conduct and Acceptable Use

6.1 Permitted Use

You may use the Service solely for lawful, personal, non-commercial educational purposes, unless you have entered into a separate written agreement with us for commercial use.

6.2 Prohibited Conduct

You agree not to:

1. Use the Service to cheat, plagiarize, or engage in academic dishonesty (including submitting AI-generated content as your own work in violation of your school's policies);
2. Upload, transmit, or share any content that is illegal, harassing, defamatory, obscene, or that infringes any third party's intellectual property rights;
3. Use the Service to scrape, crawl, or systematically collect data without our express written permission;
4. Reverse engineer, decompile, or attempt to extract the source code of the Service or our AI models;
5. Attempt to gain unauthorized access to any part of the Service or other users' accounts;
6. Use the Service in any manner that could damage, disable, or impair the Service or servers or networks connected to the Service;
7. Misrepresent your identity or affiliation;
8. Use automated scripts or bots to access the Service;
9. Use the Service for any commercial purpose without our prior written consent.

6.3 Academic Integrity

You are solely responsible for ensuring your use of the Service complies with your educational institution's academic integrity policies. Acepath is a study tool; it is intended to help you learn, not to circumvent learning.

7User Content

7.1 Your Content

You retain ownership of any content you upload, submit, or transmit through the Service ("User Content"), including photos of handwritten work, essay responses, and other materials.

7.2 License to Acepath

By submitting User Content, you grant Acepath a worldwide, non-exclusive, royalty-free license to use, store, process, display, and analyze your User Content solely for the purpose of providing and improving the Service.

7.3 AI Training

We will not use your personal User Content to train our AI models without your separate, explicit consent. Where we use aggregated or de-identified data for model improvement, we will do so in accordance with our Privacy Policy.

7.4 Your Representations

You represent and warrant that: (a) you own or have the necessary rights to your User Content; (b) your User Content does not violate any third party's intellectual property, privacy, or other rights; and (c) your User Content complies with these Terms and all applicable laws.

7.5 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate in our sole discretion.

8Intellectual Property

8.1 Our Content

The Service and all content, features, and functionality thereof, including but not limited to exam questions, AI models, software, text, graphics, logos, and curriculum materials, are owned by Acepath or its licensors and are protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal educational use, subject to these Terms.

8.3 No Unauthorized Use

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any portion of the Service without our express written permission.

8.4 Feedback

If you provide us with feedback or suggestions regarding the Service, you grant us the right to use such feedback without restriction or compensation to you.

9AI-Generated Content

9.1 Nature of AI Output

Our Service uses artificial intelligence to generate grading feedback, diagnostics, study plans, and tutoring explanations. AI-generated content is produced algorithmically and may contain errors, inaccuracies, or incomplete information.

9.2 No Guarantees

We do not warrant the accuracy, completeness, or fitness for any particular purpose of AI-generated content. You should not rely solely on AI feedback for important academic decisions.

9.3 AI Limitations Disclosure

Our AI models may reflect biases present in training data. We are committed to ongoing improvement of model fairness and accuracy.

9.4 Human Review

For critical decisions, we encourage you to seek review from qualified educators or tutors.

10Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.

11Third-Party Services

The Service may integrate with or link to third-party services (such as payment processors, analytics providers, and cloud infrastructure). We are not responsible for the practices of any third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

12Disclaimers

13Limitation of Liability

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

14Indemnification

You agree to indemnify, defend, and hold harmless Acepath and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

15Dispute Resolution

15.1 Informal Resolution

Before filing any formal legal claim, you agree to contact us at legal@acepath.ai and attempt to resolve the dispute informally for at least 30 days.

15.2 Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration, rather than in court, except for claims that may be brought in small claims court.

15.3 Class Action Waiver

15.4 Governing Law

These Terms are governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. For users in the United States, mandatory consumer protection laws of your state may also apply.

15.5 Jurisdiction

Subject to the arbitration clause above, you consent to the exclusive jurisdiction of courts located in Singapore for any disputes not subject to arbitration.

16Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you via email or a prominent notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

17Termination

17.1 By You

You may terminate your account at any time through account settings or by contacting us.

17.2 By Us

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion, with or without notice.

17.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and dispute resolution) will survive.

18Miscellaneous

18.1 Entire Agreement

These Terms (together with the Privacy Policy) constitute the entire agreement between you and Acepath regarding the Service.

18.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

18.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

18.4 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights without restriction.

18.5 Force Majeure

We will not be liable for any failure or delay in performance due to causes beyond our reasonable control.
