Terms of Service

Welcome to ACEpath.AI ("ACEpath," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website located at acepath.aiand all related services, features, and content (collectively, the "Service"), operated by ACEPATH PTE. LTD., a company incorporated in Singapore.

By creating an account, clicking "Sign Up," or otherwise accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to these Terms, do not use the Service.

If you are under 18 years of age, your parent or legal guardian must review and agree to these Terms on your behalf.

2.1 Minimum Age. You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

2.2 Users Under 13. We do not knowingly collect personal information from children under 13. If you are under 13, please do not attempt to register for or use the Service. If we become aware that a user is under 13, we will promptly delete their account and associated information. Parents may contact legal@acepath.ai.

2.3 Users Ages 13–17. If you are between 13 and 17 years old ("Teen User"), you represent that your parent or legal guardian has reviewed and consented to these Terms and our Privacy Policy.

2.4 Account Authority. If you use the Service on behalf of an educational institution or organization, you represent that you have authority to bind that entity to these Terms.

3.1 Account Creation. To access certain features, you must register for an account and provide accurate, current, and complete information. You agree to update that information as necessary.

3.2 Account Security. You are responsible for safeguarding your account credentials. Notify us immediately at legal@acepath.ai if you suspect unauthorized use. We are not liable for loss resulting from unauthorized use of your account.

3.3 One Account Per User. You may not create multiple accounts. We reserve the right to terminate duplicate accounts.

ACEpath.AI provides an AI-powered learning companion for solving questions and checking handwritten work, including:

• Solve. Step-by-step answers for one complete question.
• Check my work. Step-by-step review of handwritten work with Correct, The mistake, and Affected statuses.
• Mistake diagnosis. Explanations of why a mistake happened and the corrected path.
• Visual explanations. Visual support for understanding the reasoning behind a solution.
• Targeted practice. Practice recommendations based on the mistake being reviewed.

5.1 Subscription Plans. Access to premium features requires a paid subscription. Current pricing is listed below in USD and may change with 30 days' notice.

5.2 Billing. For subscriptions purchased through the ACEpath website, you authorize ACEpath or its third-party payment processor to charge your payment method on a recurring basis at the start of each billing period. For subscriptions purchased in the iPhone app, Apple processes the payment and charges the Apple Account used for the purchase. Subscription fees are charged in advance.

5.3 Automatic Renewal. Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period. Website subscriptions must be canceled according to the instructions shown at checkout or in the payment provider's account tools. iPhone subscriptions must be managed or canceled in your Apple Account subscription settings.

5.4 Refund Policy. For subscriptions purchased through the ACEpath website, we offer a 7-day money-back guarantee for first-time subscribers. After 7 days, website subscription fees are non-refundable for the current billing period. Refund requests for iPhone purchases must be submitted to Apple and are subject to Apple's policies. If you cancel, you retain access through the end of your paid period, subject to the applicable store or payment provider rules.

5.5 Free Trial. The monthly plan includes 3 days free, then $14.99 billed every month. You may cancel before the trial ends to avoid the charge.

5.6 Taxes. Prices do not include applicable taxes. You are responsible for any taxes applicable to your subscription.

6.1 Permitted Use. You may use the Service solely for lawful, personal, non-commercial educational purposes unless you have a separate written agreement with us.

6.2 Prohibited Conduct. You agree not to:

• Use the Service to cheat, plagiarize, or engage in academic dishonesty.
• Upload or share content that is illegal, harassing, defamatory, obscene, or infringing.
• Scrape, crawl, or systematically collect data without written permission.
• Reverse engineer, decompile, or attempt to extract source code or AI models.
• Attempt unauthorized access to the Service or another user’s account.
• Damage, disable, or impair the Service, servers, or connected networks.
• Misrepresent your identity or affiliation.
• Use automated scripts or bots to access the Service.
• Use the Service for commercial purposes without prior written consent.

6.3 Academic Integrity. You are solely responsible for ensuring your use complies with your school's academic-integrity policies. ACEpath is a study tool intended to help you learn, not circumvent learning.

7.1 Your Content. You retain ownership of content you upload, submit, or transmit through the Service ("User Content"), including handwritten-work photos, essay responses, and other materials.

7.2 License to ACEpath. By submitting User Content, you grant ACEpath a worldwide, non-exclusive, royalty-free license to use, store, process, display, and analyze it solely to provide and improve the Service.

7.3 AI Training. We will not use your personal User Content to train AI models without separate, explicit consent. Aggregated or de-identified data may be used for model improvement in accordance with our Privacy Policy.

7.4 Your Representations. You represent that you own or have the rights to your User Content, that it does not violate third-party rights, and that it complies with these Terms and applicable laws.

7.5 Content Removal. We may remove User Content that violates these Terms or that we deem inappropriate in our sole discretion.

8.1 Our Content. The Service and its content, features, and functionality—including exam questions, AI models, software, text, graphics, logos, and curriculum materials—are owned by ACEpath or its licensors.

8.2 Limited License. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal educational use, subject to these Terms.

8.3 No Unauthorized Use. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any part of the Service without our express written permission.

8.4 Feedback. If you provide feedback or suggestions, you grant us the right to use them without restriction or compensation.

9.1 Nature of AI Output. The Service uses artificial intelligence to generate grading feedback, diagnostics, study plans, and tutoring explanations. AI-generated content may contain errors, inaccuracies, or omissions.

9.2 No Guarantees. We do not warrant the accuracy, completeness, or fitness for any purpose of AI-generated content. Do not rely solely on AI feedback for important academic decisions.

9.3 AI Limitations Disclosure. Our models may reflect biases in training data. We are committed to ongoing improvement of model fairness and accuracy.

9.4 Human Review. For critical decisions, we encourage you to seek review from qualified educators or tutors.

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of information as described in the Privacy Policy.

The Service may integrate with or link to third-party services, such as payment processors, analytics providers, and cloud infrastructure. We are not responsible for third-party practices. Your use of third-party services is governed by their respective terms and privacy policies.

12.2 No Guarantee of Results. We do not warrant that the Service will improve your AP exam scores or college-admission outcomes.

12.3 Service Availability. We do not warrant that the Service will be uninterrupted, error-free, or secure. We may modify, suspend, or discontinue the Service with reasonable notice.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

• ACEpath, its officers, directors, employees, agents, and licensors will not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service.
• Our total cumulative liability for claims arising under or related to these Terms or the Service will not exceed the greater of the amount you paid to us in the 12 months before the claim or USD $100.

Some jurisdictions do not allow exclusion or limitation of certain damages, so these limitations may not apply to you.

You agree to indemnify, defend, and hold harmless ACEpath and its officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your User Content, your violation of these Terms, or your violation of a third party's rights.

15.1 Informal Resolution. Before filing a formal legal claim, contact legal@acepath.ai and attempt to resolve the dispute informally for at least 30 days.

15.2 Binding Arbitration. If informal resolution fails, disputes arising from or relating to these Terms or the Service will be resolved by binding arbitration rather than in court, except for claims that may be brought in small claims court.

15.3 Class Action Waiver. YOU AND ACEPATH EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION.

15.4 Governing Law. These Terms are governed by the laws of Singapore. For users in the United States, mandatory consumer-protection laws of the user's state may also apply.

15.5 Jurisdiction. Subject to the arbitration clause, you consent to the exclusive jurisdiction of courts located in Singapore for disputes not subject to arbitration.

We may update these Terms from time to time. If we make material changes, we will notify you by email or a prominent notice on the Service at least 14 days before the changes take effect. Continued use after the effective date constitutes acceptance of the updated Terms.

17.1 By You. You may terminate your account at any time through account settings or by contacting us.

17.2 By Us. We may suspend or terminate your account immediately if you violate these Terms, engage in fraud, or for another reason at our discretion, with or without notice.

17.3 Effect of Termination. Upon termination, your right to use the Service ceases immediately. Provisions that should survive—including intellectual property, disclaimers, limitation of liability, and dispute resolution—survive.

• 18.1 Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and ACEpath regarding the Service.
• 18.2 Severability. If a provision is invalid or unenforceable, the remaining provisions continue in effect.
• 18.3 No Waiver. Failure to enforce a right or provision is not a waiver of that right.
• 18.4 Assignment. You may not assign your rights or obligations without written consent. We may assign our rights without restriction.
• 18.5 Force Majeure. We are not liable for failure or delay caused by events beyond our reasonable control.
